1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Spartan BioLabs website, online store, and related services (collectively, the “Site”), and any purchase of research peptides, reference compounds, or other research-use-only materials (“Products”) sold by Spartan BioLabs (“Spartan BioLabs,” “we,” “us,” or “our”). By creating an account, placing an order, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Eligibility and Research Use Only Affirmation

The Site is intended exclusively for qualified researchers, scientists, and laboratory professionals. By registering or purchasing, you represent and warrant that:

• You are at least 21 years of age.
• You are a qualified researcher or are purchasing on behalf of a qualified research organization, academic institution, or commercial laboratory.
• You are trained in the safe handling of research chemicals and have access to appropriate personal protective equipment (PPE) and laboratory facilities.
• You will use the Products solely for in-vitro laboratory research and analytical purposes.

All Products are sold and intended for Research Use Only (RUO). Products are not drugs, food, cosmetics, or dietary supplements, and are not intended for human or veterinary diagnostic, therapeutic, prophylactic, or recreational use. They have not been approved by the U.S. Food and Drug Administration or any comparable regulatory authority for any such use.

3. Account Registration

To purchase Products you must create an account and supply accurate, current, and complete information, including your full legal name, date of birth, email, industry, and qualifying credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately at contact@spartanbiolabs.com of any unauthorized use. We may suspend or terminate any account at our sole discretion if information appears inaccurate, the account is misused, or the holder no longer meets the eligibility criteria above.

4. Permitted Use of the Site and Products

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access the Site and to use Products in your own controlled laboratory environment for bona-fide research, analytical method development, reference standardization, and similar scientific purposes.

5. Prohibited Use

You agree that you will not, and will not authorize any other party to:

• Administer any Product to humans or animals or use any Product for any clinical, diagnostic, therapeutic, cosmetic, food, or supplement purpose.
• Resell, repackage, redistribute, or otherwise transfer Products outside of your own research operations without our prior written consent.
• Use the Site or Products in violation of any applicable federal, state, local, or international law, regulation, or industry rule, including controlled-substance, export-control, and shipping regulations.
• Misrepresent your identity, credentials, age, or intended use of the Products.
• Reverse engineer, scrape, harvest, or attempt to interfere with the Site, its security, or its underlying infrastructure.

Violation of this Section may result in immediate account termination, order cancellation, refusal of future service, and reporting to applicable authorities.

6. Order Acceptance and Pricing

All orders are offers to purchase and are subject to acceptance by Spartan BioLabs. We reserve the right to refuse, cancel, or limit any order for any reason, including suspected misuse, eligibility concerns, pricing or inventory errors, or shipping restrictions. Prices are listed in U.S. dollars and exclude applicable taxes, duties, and shipping charges, which will be calculated at checkout. Prices and availability are subject to change without notice prior to order acceptance.

7. Shipping, Risk of Loss, and Title

Products are shipped within the United States only, unless otherwise expressly agreed in writing. Title to and risk of loss for the Products pass to you upon delivery to the carrier. Estimated transit times are provided for convenience and are not guaranteed. You are responsible for ensuring that shipping addresses are accurate and that a qualified recipient is available to receive the shipment.

8. Returns and Refunds

Due to the controlled and research-grade nature of the Products, all sales are final once a Product has shipped. We will replace or refund Products that arrive damaged, are materially non-conforming to the published Certificate of Analysis, or are shipped in error, provided you contact us within seven (7) calendar days of delivery at contact@spartanbiolabs.com with order details and supporting documentation. Returns require prior written authorization.

9. Disclaimers

The Site and the Products are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Spartan BioLabs disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Products will achieve any particular research outcome.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Spartan BioLabs, its officers, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or in connection with these Terms, the Site, or the Products, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Products or these Terms shall not exceed the amount you paid for the specific Product giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Spartan BioLabs and its officers, directors, employees, affiliates, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Products or the Site, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any administration of the Products to humans or animals.

12. Governing Law and Venue

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Products shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Modification of Terms

We may revise these Terms from time to time. The “last updated” date at the top of the Terms page (or the post modification date in WordPress) reflects the most recent revision. Your continued use of the Site after a revision becomes effective constitutes acceptance of the revised Terms.
